These Terms of Service describe the security and availability commitments Navspire Tech Private Limited makes with respect to the SIM Portal. They apply to all employees, dealers, customers, business partners, contractors, and other authorized users of the application.
Overview
Navspire Tech Private Limited ("Navspire", "Company", "we", "our", or "us") provides the SIM Portal to employees, dealers, customers, business partners, and contractors for the purpose of managing accounts, services, and related operations. These Terms of Service set out the security and availability commitments we make with respect to the SIM Portal, and the conditions under which access to the platform is granted and maintained.
These Terms work alongside our Privacy Policy, which governs how personal information is collected and used. Where these Terms and the Privacy Policy overlap, both should be read together.
Version History
This Terms of Service has evolved since its initial internal draft. The summary below tracks material changes across each published version.
Public release. Added Incident Communication and Confidentiality Obligations sections, expanded Access Control into role-based, least-privilege, and segregation-of-duties subsections, and clarified MSA precedence and Governing Law.
Internal review draft. Introduced the first-login acceptance mechanism and defined the relationship between these Terms and executed Client Agreements or MSAs.
Initial internal draft. Established scope, security and availability commitments, and baseline user responsibilities.
Acceptance of Terms
Because user accounts on the SIM Portal are created internally by authorized administrators rather than through self-registration, acceptance of these Terms is captured at first login. On first successful sign-in, a user is required to affirmatively acknowledge that they have read and agree to this Terms of Service and the accompanying Privacy Policy before access to the platform is granted.
Once acceptance has been recorded against a user's account, it applies to all subsequent sessions from any device, and continued use of the SIM Portal constitutes ongoing agreement to these Terms as they may be updated from time to time.
Security Commitments
Navspire Tech Private Limited is committed to maintaining the security of the SIM Portal and the information processed through it. We maintain administrative, technical, and organizational safeguards designed to protect the confidentiality and integrity of data against unauthorized access, disclosure, alteration, or loss.
All communication with the SIM Portal is encrypted in transit using HTTPS. Passwords are stored only as secure, one-way hashes. Authentication events, role changes, and administrative actions are logged and retained to support security monitoring and incident investigation. Access to production systems is restricted to authorized personnel and reviewed on a periodic basis.
Our security and privacy commitments are made available to all external users and internal employees through this Terms of Service and our Privacy Policy, both accessible from the login page and application footer. Material changes to these commitments are communicated through policy updates as described in Section 15.
Availability Commitments
Navspire Tech Private Limited undertakes reasonable measures to keep the SIM Portal available for its intended business purposes. This includes monitoring system performance and uptime, performing routine maintenance, and responding to service disruptions in a timely manner.
Planned maintenance that may affect availability will, where practical, be communicated to users in advance. Unplanned outages will be addressed as promptly as reasonably possible, and significant incidents affecting the platform's availability or security will be assessed and remediated in accordance with our internal incident response procedures.
Specific uptime commitments, service levels, and support response times for a given client or business partner may be further detailed in a separate Client Agreement or Master Service Agreement, as described in Section 10.
Incident Communication
Where a security incident or extended service disruption materially affects the confidentiality, integrity, or availability of the SIM Portal, Navspire Tech Private Limited will assess the scope and impact of the incident and communicate relevant information to affected users, clients, or business partners in a manner and timeframe consistent with applicable law and any governing Client Agreement or MSA.
- A general description of the nature and scope of the incident.
- The systems, functions, or categories of data affected, where known.
- Steps taken or planned to contain and remediate the incident.
- Any actions recommended for affected users, such as a password reset.
Access Control & Authorization
Access to data, functions, and other protected assets within the SIM Portal is granted, modified, and removed based on a user's assigned role and business responsibilities, in line with the principles of least privilege and segregation of duties.
Every user account on the SIM Portal is assigned one or more roles by an authorized administrator. These roles determine which screens, functions, and data the user can access. Access is scoped to what is necessary to perform the user's job function, rather than granted broadly by default.
Where system design allows, sensitive functions — such as approving changes, managing user access, or modifying financial or account data — are separated across different roles so that no single user can both initiate and approve a sensitive action unchecked. Administrative access is limited to personnel who require it for their duties and is reviewed periodically to confirm it remains appropriate.
When a user's role, department, or employment status changes, their access rights are reviewed and updated accordingly. Access is promptly removed when it is no longer required, including upon termination of employment or the end of a business relationship with a dealer, contractor, or partner.
Assigned roles and access rights are reviewed on a periodic basis by authorized personnel to confirm that access remains aligned with each user's current responsibilities, and to identify and remove any access that is no longer required.
Confidentiality Obligations
Information accessed through the SIM Portal, including account data, business records, and system configuration details, is considered confidential and may only be used for the authorized business purpose for which access was granted.
Users must not copy, export, disclose, or otherwise share confidential information obtained through the SIM Portal with any unauthorized party, and must take reasonable steps to prevent accidental disclosure, including securing any device used to access the platform.
User Responsibilities
Users of the SIM Portal are expected to use the platform only for its intended business purposes and in accordance with their assigned role. Users must keep their login credentials confidential, must not attempt to access data or functions beyond what their role permits, and must promptly report any suspected unauthorized access or security concern to the Information Security Team.
Sharing of accounts, credentials, or session access between individuals is not permitted, as doing so undermines the role-based access and audit controls described in Section 7.
Client Agreements & MSA Precedence
These Terms of Service apply generally to all users of the SIM Portal. However, where a separate Client Agreement or Master Service Agreement ("MSA") has been executed between Navspire Tech Private Limited and a specific client, dealer, or business partner, the terms of that Client Agreement or MSA will govern in the event of any conflict with this Terms of Service, with respect to that party.
In cases where no such Client Agreement or MSA is in place, this Terms of Service serves as the governing agreement regarding security and availability commitments for that user's access to and use of the SIM Portal.

Service Modifications & Support
Navspire Tech Private Limited may modify, update, or discontinue features of the SIM Portal from time to time to improve functionality, security, or performance. Where reasonably possible, users will be notified in advance of changes that materially affect their use of the platform.
Support requests related to access, functionality, or suspected security issues should be directed to the Information Security Team using the contact details in Section 16.
Limitation of Liability
The SIM Portal is provided on an "as available" basis. While Navspire Tech Private Limited takes reasonable steps to maintain the security and availability of the platform, we do not warrant that the SIM Portal will be uninterrupted or error-free at all times. To the extent permitted by applicable law and any governing Client Agreement or MSA, Navspire Tech Private Limited's liability arising from use of the SIM Portal is limited as set out in the applicable agreement between the parties.
Suspension & Termination
Navspire Tech Private Limited may suspend or terminate a user's access to the SIM Portal where there is reasonable cause to believe these Terms have been violated, where continued access poses a security risk, or where the underlying employment, dealer, or business relationship with Navspire Tech Private Limited has ended.
Users may request termination of their own access at any time by contacting the Information Security Team.
Governing Law
Except where a Client Agreement or MSA specifies otherwise for a particular party, these Terms of Service are governed by, and interpreted in accordance with, the laws applicable to Navspire Tech Private Limited's place of business, without regard to conflict-of-law principles.
Changes to these Terms
Navspire Tech Private Limited reserves the right to update or revise this Terms of Service at any time to reflect changes in legal requirements, business operations, security practices, or application functionality. The updated version becomes effective immediately upon publication unless otherwise stated, and users are encouraged to review these Terms periodically.
Where a change is material, users may be required to re-acknowledge these Terms at next login, using the same acceptance mechanism described in Section 3.
